Overview
Our team advises global funds, Indian funds and portfolio companies, ranging from startups to mature companies, through all stages of investment: fund formation, fundraising, angel investments, seed rounds, growth and late-stage investments, and exits.
Our practice provides advice on structuring and setting up alternative investment funds and infrastructure investment trusts (InvITs). We assist with investment documentation, governance and the negotiation of investor and promoter rights, including how those rights operate in later funding rounds and on exit.
01 / Scope of Work
Fund-related advice
Our fund-related work includes formation, structuring, preparation and negotiation of fund documents, and regulatory compliance. We advise on arrangements with limited partners and service providers, documentation and registration requirements. The proposed fund structure determines the work required, with tax and other specialist input coordinated with the appropriate professionals.
02 / Scope of Work
Investment transactions
We assist with target due diligence, term sheets and transaction documentation. Negotiations may address ownership, governance, investor protections and the respective rights of investors and promoters. We review the proposed terms alongside existing company and shareholder documents, including their implications for follow-on investment and the administration of the investment relationship.
03 / Scope of Work
Portfolio matters and exits
After an investment, the work may include portfolio-company governance, compliance-related advice and documentation for subsequent rounds or changes to shareholder arrangements. We also advise on partial and full exits. The transaction structure, existing rights and proposed timetable guide the legal review and the documents needed for the agreed process.
Information for an Initial Enquiry
Please outline the matter and the advice required. The following information can help us assess the proposed scope:
- Proposed investment and capital structure
- Term sheet and intended timetable
Please do not send confidential documents with an initial enquiry. We confirm conflict checks, scope and secure-sharing arrangements before reviewing detailed materials.
Questions
Can founders and investors both instruct SPL?
The firm advises funds, investors, founders and portfolio companies, but the client and representation are defined for each matter following conflict checks. Advice to one party does not imply advice to the other parties.
What documents should be organised for an investment review?
A term sheet, current capitalisation table and relevant company or shareholder documents are common starting points once secure sharing is agreed. The precise request list depends on the transaction and the scope of diligence.
