Insolvency & Restructuring

Advice on financial distress, business restructuring, stressed assets and insolvency-related proceedings.

Overview

Our team advises and represents clients on a range of issues arising under the Insolvency and Bankruptcy Code, 2016 (IBC). We advise domestic and international clients on contentious and non-contentious matters relating to debt structuring, resolution and liquidation under the IBC.

The practice includes pre-insolvency advice, assistance during the Corporate Insolvency Resolution Process and acquisitions of stressed assets. We work with companies, restructuring and insolvency professionals, institutional creditors and operational creditors, with the scope of advice and representation agreed for each matter.

01 / Scope of Work

Pre-insolvency and restructuring advice

We review the circumstances of the distress, the relevant agreements and the proposed course of action. Advisory work may concern restructuring arrangements, creditor issues and the documents needed to evaluate available steps. The position depends on the facts, contractual commitments and stage of the matter; an initial review does not predetermine the outcome.

02 / Scope of Work

Insolvency proceedings and representation

Our team advises and represents clients in proceedings before the National Company Law Tribunal (NCLT), National Company Law Appellate Tribunal (NCLAT), High Courts and the Supreme Court of India. The work includes assistance in the Corporate Insolvency Resolution Process and related documentation. We agree the client's role, relevant proceedings and responsibilities for representation at the outset.

03 / Scope of Work

Stressed-asset transactions

For acquisitions through an insolvency process, the work may include legal due diligence, transaction structuring and the preparation of resolution plans or related documents. We examine the proposed acquisition and the legal issues within the agreed scope. Financing, valuation and other specialist considerations require their own assessment alongside the legal work.

Questions

Can the firm be approached before formal proceedings begin?

Does the firm advise on acquiring stressed assets?

The practice includes advice on acquisitions of stressed assets through insolvency processes, including diligence, structuring and resolution-plan documentation. The proposed transaction determines the work required.
