Overview
Our team advises both buy-side and sell-side clients on schemes of mergers, acquisitions, demergers, joint ventures and amalgamations. We advise domestic and multinational corporations, financial institutions, private equity investors, government agencies and individuals.
We provide services across mergers and acquisitions transactions, including due diligence, transaction structuring, negotiation and drafting of transaction documents, regulatory advice and post-merger integration. Our work covers share and asset transactions and the arrangements needed to carry the transaction through to completion.
01 / Scope of Work
Transaction structure and regulatory requirements
We help clients structure the transaction and develop a strategy to meet their goals and objectives while addressing legal and tax risks with the appropriate advisers. We advise on regulatory requirements that may apply to the transaction, such as antitrust, foreign investment and securities regulations. The review considers the interests being transferred, existing arrangements, required consents and the responsibilities of the parties.
02 / Scope of Work
Due diligence and negotiation
We help clients conduct a thorough investigation of a target company's legal and commercial position to identify risks and opportunities. We negotiate and draft transaction documents, including purchase agreements, shareholders' agreements and other ancillary agreements. Due diligence findings inform the transaction terms, disclosures, conditions and contractual protections, with financial and tax input coordinated with the relevant professionals.
03 / Scope of Work
Completion and post-acquisition work
We provide guidance and support during post-merger integration to assist the transition and implementation of the transaction's commercial objectives. Our work includes closing documentation, coordination of agreed legal work, governance changes and contractual arrangements following completion. Matters identified during due diligence are carried forward into the completion and integration process where required.

Questions
Does the firm advise buyers and sellers?
Yes. The practice covers advice to buyers, sellers, companies, promoters and investors. The firm confirms whom it represents and checks for conflicts before accepting a matter.
Can a business prepare before a transaction is agreed?
A review of ownership records, corporate approvals and material contracts can identify missing information before a formal diligence process. The transaction data room checklist provides a general starting point for organising documents.
