Our team advises borrowers and lenders on structured finance, acquisition finance, banking disputes, syndicated loans, restructuring and insolvency processes, loan agreements, debt financing and asset-based lending. We help clients negotiate terms and review and draft contracts and agreements.
We assist clients with regulatory compliance in the banking and finance industry, including laws and regulations relating to banking, securities and insurance. We also represent clients in banking and finance disputes, including litigation, arbitration and mediation.
01 / Scope of Work
Financing arrangements
We assist with the legal structure and documentation of borrowing and lending arrangements, including working-capital facilities and real-estate financing. This includes reviewing term sheets and the relationship between the main facility, supporting security and related commercial arrangements. For acquisition or project-linked financing, we also consider the documents and conditions arising from the underlying transaction.
02 / Scope of Work
Diligence and documentation
Due diligence may concern the borrower, investee, promoters, project or proposed security, depending on the instructions. We draft, review and negotiate facility agreements, escrow arrangements and other transaction documents. The work identifies legal questions requiring resolution and records the agreed responsibilities, conditions, covenants and completion requirements.
03 / Scope of Work
Restructuring and stressed assets
The practice also addresses debt restructuring, securitisation and stressed-asset management transactions. We advise on the proposed legal arrangements, documentation changes and related compliance questions. Where a financing matter involves distress or formal insolvency proceedings, the financing and insolvency workstreams need to be considered together, with the scope of each agreed at the outset.

Questions
What information is useful for an initial financing discussion?
Please outline the purpose of the finance, the proposed borrower and lender, the amount or indicative terms, the intended security and any deadline. Confidential financial documents should follow only after appropriate arrangements are confirmed.
Is financial due diligence included in a legal review?
Legal, financial and tax due diligence address different questions. The engagement specifies the legal review and the input required from other advisers; it should not be assumed that one replaces another.
