General business preparation, not legal advice. Transaction and jurisdiction-specific conclusions require professional review.
What should a contract amendment address?
A contract amendment should identify the agreement being changed, the precise changes proposed and how those changes affect the remaining terms. Legal review considers the operative document set, the parties’ authority, the commercial consequences and any applicable formalities. A short amendment can change the allocation of substantial risk. Its length is therefore a poor measure of the review it requires.
Establish the agreement being amended
Locate the executed agreement, its schedules, earlier amendments and any document incorporated by reference. Confirm the contracting entities and whether a subsequent transfer or restructuring affects the position. Keep an unmarked signed copy alongside the proposed amendment. Counsel should be able to trace each change to the provision currently in force, without reconstructing the document history from conflicting draft files. Identify missing signatures or schedules expressly.
Define the change and its effective date
Describe the commercial change in a short instruction: a revised service, price, delivery programme or responsibility. Distinguish the date of signature from the date on which the parties intend the change to operate. Explain whether work has already proceeded on the new basis. Retrospective wording may raise questions concerning performance, invoices, third parties and existing disputes. Those questions should be considered directly rather than concealed by a date inserted into a template.
Read the connected provisions
A change in scope may affect acceptance, service levels, fees, insurance and liability. An extension may affect security, support arrangements, renewal rights or an exit programme. Review definitions and cross-references as well as the clause selected for amendment. Record whether the proposal leaves existing rights and accrued claims untouched, or seeks a different outcome. The commercial team must understand the consequences it is asking counsel to document.
Separate amendment, replacement and other arrangements
The parties may be changing selected terms, replacing a document or considering a different party or contractual structure. These are questions of substance, not merely document headings. The Indian Contract Act addresses alteration and related arrangements; the actual drafting and facts determine the analysis. Avoid using an amendment form to implement a change that requires a different structure or wider set of consents.
A practical review example
A supplier and customer agree to add support for a second product. The proposed amendment changes the service description and fee, but says nothing about response times or the existing liability structure. A review brief should identify the new support obligation, expected service standard, commencement date and intended treatment under the original agreement. The example illustrates connected drafting questions; it does not prescribe the appropriate liability position for a real engagement.
Prepare the final execution record
Resolve the decision log before finalising the document. Confirm the version authorised for signature and the execution requirements applicable to the parties and transaction. After completion, retain the amendment with the original agreement and update the operational register. Circulate a clear record of the provisions changed to the people responsible for performance. Do not treat a negotiated draft as an executed change or discard the historical agreement.
