Organising Documents for Commercial Dispute Discussions

How to prepare a source-based document index that supports a commercial dispute chronology and an initial discussion with counsel.

How does a document index support a dispute review?

A commercial dispute document index identifies the records relevant to an issue and where each record can be found. A chronology describes events; the index connects those events and issues to their sources. Together, they help counsel identify missing information, conflicting accounts and matters requiring prompt attention. Neither document should be presented as deciding liability or the outcome of proceedings.

Preserve the source records

Identify the agreements, correspondence, notices, invoices, delivery records and other materials potentially relevant to the matter. Preserve originals and existing metadata using appropriate internal arrangements. Do not edit a document to make it easier to understand or discard an inconvenient earlier version. If a working copy contains comments, distinguish it from the source. Ask counsel how potentially sensitive or privileged material should be handled.

Give each document a stable reference

Use a reference that remains consistent when the file is moved or the index is sorted. Record the document description, date if known, parties or author, source location and status. Distinguish an attachment from the email transmitting it. Where the date or origin is uncertain, record that uncertainty rather than selecting a convenient value. The adviser should be able to locate the same record from a chronology entry or issues note.

Connect documents to issues without overstating them

Add a short description of why a record may be relevant: an instruction, a claimed delivery, an objection or a proposed change. Separate the document’s contents from the business team’s interpretation. Identify inconsistencies and gaps. A statement that an invoice was sent is different from a conclusion that a payment obligation is undisputed or that a particular remedy is available.

Identify urgent records and incomplete communications

Mark formal notices, court or tribunal papers and other time-sensitive material for prompt review. Preserve envelopes, transmission details and receipt records where available. Do not calculate procedural or limitation deadlines from the index alone. Collect the full communication chain rather than isolated messages selected to support one account. Missing attachments and unanswered requests should remain visible in the handover.

A fictional document-to-event example

A supplier’s chronology records a revised delivery instruction. The supporting index links the instruction email, its attachment, an acknowledgement and the later delivery record. It also notes that one referenced schedule has not been located. The index does not say the customer accepted every consequence of the revised programme. It allows counsel to assess the documents and request further information before forming a view.

Prepare the advisory handover

Provide a short issue summary, the chronology, the index and a controlled source folder. Identify the person who can explain the operational facts and the decisions required. Limit unnecessary duplication and agree secure sharing with the firm. Update the index when new records are found, retaining version history. The exercise should improve the reliability of the factual account, without replacing legal advice on evidence, procedure or the substantive dispute.
